Adsmithy is an AI-powered ad creation platform operated by Merlio (SIREN 884589896, Paris, France). In these Terms of Service, "Adsmithy" refers to the product and services, while "Merlio" refers to the legal entity responsible for operating Adsmithy.

Acceptance of Terms

By using Adsmithy, you agree to be bound by these Terms of Service (ToS). If you do not accept these terms, you should not use our services.

Description of Service

Adsmithy is an AI-powered ad creation platform that helps businesses and marketers generate high-quality advertising creatives. The platform offers tools for creating product ads, adapting visuals for multiple advertising platforms, and generating compelling ad copy using advanced AI technologies. While the service includes free features, subscription options unlock advanced capabilities, ensuring solutions for every need.

Registration and User Account

To use Adsmithy, you must create a user account by providing accurate and up-to-date information. You are responsible for the confidentiality of your password and the security of your account.

Use of Service

You agree to use Adsmithy in accordance with these ToS and applicable laws. You commit not to:

  • —Use the service for illegal, harmful, defamatory, or misleading purposes.
  • —Attempt to exploit or manipulate the AI system for unethical or unlawful actions.
  • —Use AI-generated content for deceptive, fraudulent, or malicious activities.

Intellectual Property

All intellectual property rights related to Adsmithy, its platform, and technologies remain the exclusive property of Merlio or its licensors. Users retain full ownership of the content generated through Adsmithy's AI tools, subject to compliance with these Terms of Service.

User Data and Account Deletion

You may request the deletion of your account and all associated data at any time from your account settings page or by contacting us at hello@adsmithy.com.

Upon account deletion, the following data will be permanently removed within 30 days:

  • Your account profile and authentication data
  • All generated creatives, images, and AI outputs
  • Brand profiles, team memberships, and invitations
  • Imported products and scraped data
  • Canvas templates and design assets
  • Subscription and billing history (retained as required by law)

Temporary files (uploaded images for processing by our free tools) are automatically deleted within 24 hours regardless of account status.

Account deletion is irreversible. Once processed, your data cannot be recovered. Active subscriptions will be cancelled immediately with no refund for the remaining period.

In accordance with GDPR (EU) and applicable data protection regulations, you have the right to access, rectify, and erase your personal data. For any data-related requests, contact us at hello@adsmithy.com.

Limitation of Liability

Merlio provides AI-powered tools and services on an "as-is" and "as-available" basis, with no warranties or guarantees regarding accuracy, reliability, or fitness for any specific purpose.

By using Adsmithy, you acknowledge and accept that:

  • —AI-generated content may be inaccurate, inappropriate, or incomplete.
  • —You are solely responsible for how you use and interpret AI-generated outputs.
  • —Merlio shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use of its services.
  • —Merlio does not assume responsibility for user-generated content, misuse, or legal violations arising from the use of its services.
  • —Merlio is not responsible for any third-party services integrated into the platform (e.g., AI providers, payment processors).

Users assume full responsibility for ensuring that their use of Adsmithy complies with all applicable laws, ethical guidelines, and personal or professional obligations.

Under no circumstances shall Merlio, its affiliates, employees, or licensors be held responsible for any loss, damage, or harm resulting from reliance on AI-generated content. Users acknowledge that AI outputs may not always be accurate, and they must independently verify critical information before relying on it.

Merlio does not endorse, verify, or assume responsibility for any AI-generated content, including text, images, or other outputs. The views or statements generated by the AI do not reflect the opinions or beliefs of Merlio.

Eligibility

You must be at least 16 years old to use Adsmithy. By using our services, you represent and warrant that you meet this age requirement.

Service Availability

Merlio strives to provide continuous access to Adsmithy but reserves the right to temporarily suspend the service without notice for maintenance, updates, security reasons, or unforeseen technical issues. Merlio shall not be liable for any interruptions or downtime.

Privacy Policy

Your privacy is important to us. Please refer to our Privacy Policy for details on how we collect, use, and protect your personal information.

Payments and Refunds

Payments for subscription plans are processed securely through Stripe. All purchases and refund requests are governed by our Terms of Sales.

Changes to the Service

Merlio reserves the right to modify, add, or discontinue any feature or aspect of Adsmithy at any time, without prior notice or liability.

User Responsibility

Users are solely responsible for their interactions with Adsmithy's AI-powered services. By using Adsmithy, you agree that:

  • —You will not hold Merlio responsible for the accuracy, reliability, or consequences of AI-generated content.
  • —You are fully responsible for ensuring that your use of AI complies with all applicable laws, regulations, and ethical standards.

Termination

Merlio reserves the right to suspend or terminate your user account and your access to Adsmithy, without notice and without incurring liability, in case of violation of these ToS or applicable laws.

Amendments to ToS

Merlio reserves the right to modify these ToS at any time. Amendments will take effect upon their publication on the site. It is your responsibility to consult the ToS regularly and keep yourself informed of any possible changes.

Governing Law and Jurisdiction

These ToS are governed by French law. Any dispute arising from the use of Adsmithy shall be subject to the exclusive jurisdiction of French courts, unless a mandatory provision of the law of the user's country of residence requires the application of another law or jurisdiction. By using Adsmithy, you expressly accept the jurisdiction of French courts to settle disputes, unless the law of your country of residence requires the application of another law or jurisdiction.

Force Majeure

Merlio shall not be held liable for any delay or failure in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of war, or other unforeseen events (force majeure).

Account Termination

You may terminate your Adsmithy account at any time by contacting our support team at hello@adsmithy.com. Upon termination, your data will be deleted according to our Privacy Policy.

Severability

If any provision of these ToS is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

Entire Agreement

These ToS, together with the Privacy Policy and Terms of Sales, constitute the entire agreement between you and Merlio regarding the use of Adsmithy and supersede all prior agreements and understandings.
